These Terms of Service ("Terms") govern your access to and use of the products and services provided by Area 246 LLC ("Area 246," "we," "us," or "our"), including but not limited to Cari, Bajan Buddy, and any other products we may offer (collectively, "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using any Area 246 Services, you agree to comply with and be legally bound by these Terms, whether or not you register as a user. These Terms constitute a binding legal agreement between you and Area 246 LLC.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable local, state, national, and international laws
• All information you provide is accurate, current, and complete

3. Description of Services

Area 246 provides practical tools and services designed to help businesses and communities through platforms they already use. Our Services currently include:

• Cari: A business management tool delivered through WhatsApp that helps small businesses track expenses, log revenue, manage schedules, and gain financial insights
• Bajan Buddy: A conversational assistant delivered through WhatsApp that provides information about Barbados, including government services, travel information, local events, and grocery pricing

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

4. Account Registration and Security

• WhatsApp Required: Our Services are accessed through WhatsApp. You must have a valid WhatsApp account and phone number to use our Services
• Account Security: You are responsible for maintaining the security of your WhatsApp account and phone number
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update it as necessary
• Unauthorized Access: You must notify us immediately of any unauthorized access to or use of your account
• One Account: You may not create multiple accounts to circumvent restrictions or access controls

5. Acceptable Use

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Conduct

You agree not to:

• Use the Services in any way that violates any applicable law or regulation
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to our systems, other users' accounts, or computer systems or networks
• Use any automated system (bots, scripts, scrapers) to access the Services without our express written permission
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Transmit any viruses, malware, or other malicious code
• Attempt to reverse engineer, decompile, or discover the source code of the Services
• Use the Services to send spam, unsolicited messages, or harass others
• Collect or harvest any personally identifiable information from the Services
• Use the Services for any fraudulent or illegal activity

6. Fees and Payment (Applicable to Paid Services)

• Subscription Fees: Some Services may require payment of subscription fees. All fees are stated in the applicable currency and are due in advance
• Payment Processing: Payments are processed through third-party payment processors (such as Stripe). You agree to their terms and conditions
• Automatic Renewal: Subscriptions automatically renew unless you cancel before the renewal date
• Refunds: Subscription fees are generally non-refundable except as required by law or as specifically stated in product-specific terms
• Fee Changes: We reserve the right to change our fees with at least 30 days' notice. Continued use of paid Services after a fee change constitutes acceptance
• Taxes: You are responsible for any applicable taxes, and we may collect them when required by law

7. Intellectual Property Rights

• Our Content: All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the AI models and algorithms, are owned by Area 246 or our licensors and are protected by copyright, trademark, and other intellectual property laws
• Your Content: You retain ownership of any content you submit to the Services (such as receipt images, transaction records, or messages). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and process your content solely to provide and improve the Services
• Feedback: If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use them without any obligation to you
• Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission

8. Third-Party Services and Links

Our Services may contain links to or integrate with third-party websites, services, or content that are not owned or controlled by Area 246, including:

• WhatsApp (operated by Meta)
• Payment processors (Stripe)
• Google Business Profile
• Government databases and services
• Other external resources

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that Area 246 shall not be liable for any damage or loss caused by your use of any third-party services.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

9.2 Information Accuracy

While we strive to provide accurate information through our Services, we do not warrant the accuracy, completeness, or reliability of any information provided. Information from Bajan Buddy, including government service information, pricing data, and event details, is provided for informational purposes only and should be independently verified.

9.3 Financial Information

Any financial data, summaries, or insights provided through our Services (such as through Cari) are based on information you provide and should not be considered professional financial, tax, or accounting advice. You should consult with qualified professionals for financial decisions.

9.4 AI-Generated Content

Our Services use artificial intelligence and machine learning to process your requests. While we implement safeguards, AI-generated responses may occasionally be inaccurate or incomplete. You are responsible for reviewing and verifying all information before relying on it.

9.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AREA 246, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Area 246 and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your content or information submitted through the Services

11. Term and Termination

• Term: These Terms remain in effect while you use the Services
• Termination by You: You may stop using the Services at any time by ceasing to send messages to our Services
• Termination by Us: We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we believe you have violated these Terms
• Effect of Termination: Upon termination, your right to use the Services will immediately cease. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes
• Survival: Sections of these Terms that by their nature should survive termination (including intellectual property provisions, disclaimers, and limitations of liability) will continue to apply after termination

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Area 246 LLC is registered, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing a claim, you agree to contact us at legal@area246.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

14.3 Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Area 246 regarding the Services.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without your consent.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or internet outages.

15.6 Export Controls

The Services may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations.
